Technical due diligence has always been more than a code review. Buyers prioritized top-line signals and growth vectors, treating technical findings as items for a post-close improvement plan rather than deal-blockers. Architecture gaps and accumulated debt were acceptable if the team was capable and the roadmap was credible.

There is more scrutiny on how software is actually delivered, not just what it delivers. A well-documented system that matches its actual implementation scans cleanly. An organization whose internal documentation, architecture diagrams, and commit history tell contradictory stories creates flags. The gap between what a company says about its systems and what its artifacts actually show is much harder to obscure than it used to be.
AI also creates new categories of diligence concern. Organizations that have integrated third-party AI into their products are being asked about governance: How are AI outputs validated? What is the provenance of training data? What are the licensing and IP implications of the models in use? What happens operationally when an AI component produces unexpected output? These questions are still developing in practice, but they are present in nearly every diligence conversation involving a software product with AI components.
What investors and acquirers actually want to see
The assessment is fundamentally about confidence: can this organization's technical foundation support what comes next? The signals that build that confidence are consistent across deal types and stages.
Architecture clarity. Can technical leadership clearly describe the system boundaries, data flows, and known risks? Organizations that cannot explain their own architecture coherently during diligence create more concern than organizations with imperfect architecture that is well understood and honestly described.
Honest accounting of technical debt. The presence of debt is expected. The inability to articulate it clearly is the problem. Buyers want to see that leadership understands what they have, what it costs to maintain, and what a credible improvement path looks like.
Evidence of repeatable delivery. Are releases routine or events? Is there a deployment process, or does it depend on who happens to be available? Inconsistent delivery practices signal both architectural and organizational fragility.
Security and compliance posture. The baseline expectation has risen across most verticals. Access controls, secrets management, data handling, and audit logging are reviewed seriously, particularly in regulated environments.
Operational visibility. Monitoring, alerting, and incident response practices indicate whether an organization knows what is happening in production. The absence of observability is consistently flagged as a significant finding.
Reduced key-person dependency. Systems that only specific individuals can explain, maintain, or deploy represent material risk in a transaction or integration context.
What commonly surfaces in diligence
Across acquisition-oriented and growth-stage environments, certain findings appear consistently.
Fast growth tends to outpace architecture discipline. Decisions made at an early stage of scale become structural constraints at a later stage, and in many cases those decisions were never formally revisited. The result is a system that works but is fragile, expensive to extend, and difficult to document.
Deployment processes vary widely. Organizations sometimes have sophisticated CI/CD practices for their main product but fragile, manual processes for supporting systems or internal tooling that carry real operational significance. Reviewers look at the whole picture.
Documentation often reflects aspirations more than reality. Architecture diagrams that describe how a system was intended to be built, rather than how it was actually built, are a common finding. The gap is not always intentional, but it creates uncertainty during review.
Leadership's ability to explain technical risk is itself part of the assessment. Founders and engineering leaders who respond to diligence questions with clarity about known tradeoffs perform better than those who appear surprised by the questions or who overpromise their current state.
How to prepare
Preparation for technical diligence is not about making a system look better than it is. Reviewers are experienced and the gap between presentation and reality tends to surface. What preparation actually involves is understanding your own system clearly enough to explain it honestly.
Start with architecture documentation that reflects what is actually running in production. Identify the areas of highest technical risk and be prepared to speak to them directly, including what tradeoffs were made and why. Review deployment practices and identify where human dependencies create process risk. Check whether your monitoring and incident practices would hold up to an outside review.
If AI components are part of your product, be prepared to answer governance questions: how outputs are validated, what the integration dependencies are, and what your operational runbooks look like for AI-related failure modes.
The organizations that come through diligence well are not the ones with perfect systems. They are the ones whose leadership understands their systems, can explain the tradeoffs clearly, and can describe a credible path forward.
The pattern that holds
Technical due diligence in 2026 is a more thorough, more operationally focused, and more evidence-driven process than it was a few years ago. The tolerance for ambiguity has contracted. The questions being asked extend from architecture to delivery practices to AI governance to key-person risk. And AI tooling is making it increasingly difficult to sustain a gap between a company's stated technical posture and its actual operational reality.
The organizations that are well-positioned are those that have invested in architecture clarity, honest documentation, repeatable delivery, and technical leadership that can communicate risk with confidence. Those are not just diligence preparation steps. They are the same practices that support growth, integration, and long-term platform durability.
